Marketplace Seller Agreement

This Marketplace Seller Agreement ("Seller Agreement") is an additional contract between you and GatheredFolk LLC. It applies whenever you list or sell anything through the Marketplace, or host a Knit-Along or Crochet-Along. It supplements, and is part of, our Terms of Service — if the two conflict on a seller-specific point, this Seller Agreement controls.

By setting up Stripe Connect, publishing a listing, or hosting an Along, you agree to this Seller Agreement.

You — not GatheredFolk — are the seller of every item you list, and the Host of every Along you run. The contract of sale is formed directly between you and the buyer. We provide listing, payment-routing through Stripe, and optional dispute tooling — we never take title to, possession of, or responsibility for your items or your Along content.

• You're solely responsible for your listings and your items — their description and accuracy, their packaging and shipment, their safety and legality, all representations you make to buyers, all applicable taxes, and every customer-service and post-sale obligation that comes with a sale.
• You assume all risk and liability arising from your items, your Along, and your sales, and you won't represent yourself as an agent, employee, or partner of GatheredFolk.

You must be at least 18 (or the age of majority where you live) and able to form a binding contract — the same representation the Terms of Service already require, independently backed up by Stripe Connect's own identity verification (see below).

• You must complete Stripe Connect onboarding and accept Stripe's own Connected Account Agreement. Onboarding happens entirely on Stripe's hosted pages — GatheredFolk never collects or sees your identity documents. You authorize GatheredFolk and Stripe to collect the identity, date of birth, bank, and tax information needed to verify you and pay you out, and to hold, release, reverse, or refund funds as described in this Agreement and the Terms.
• If you haven't completed Stripe's verification, you can't receive any payout, regardless of whether you've listed or sold an item.
• You must provide accurate business and tax information and keep it current. We may suspend selling or withhold payouts if verification is incomplete or information turns out to be inaccurate.

For every listing, you represent that:

• You own the item, or a pattern's underlying design, or otherwise have the full legal right to sell it — and the sale doesn't breach any contract or law.
• The description, photos, price, quantity, condition, materials/fiber content, measurements, and every other listed detail are truthful, accurate, and not misleading. Photos show the actual item, or, for made-to-order items, an accurate representation clearly labeled as such.
• The item and listing don't infringe anyone else's copyright, trademark, patent, or other right.
• For a digital pattern or design: you're the original creator, or expressly authorized to sell and license it, and you'll complete the ownership/resale-rights attestation shown at listing time. Reselling, redistributing, or relicensing someone else's pattern or design without authorization is strictly prohibited and is a material breach of this Agreement — the first-sale doctrine that lets someone resell a physical book they bought doesn't extend to reselling a digital copy you didn't create.
• The item isn't counterfeit, stolen, recalled, hazardous, or otherwise prohibited under the next section or applicable law.

• Counterfeit, replica, or trademark-infringing goods; digital patterns, charts, or designs you didn't create or aren't licensed to resell; recalled, unsafe, or hazardous items; weapons, drugs, food, cosmetics, supplements, or other regulated or age-restricted goods; items you don't physically possess or have the right to sell; and anything illegal in the buyer's or your jurisdiction.
• Stuffed and plush toys and other items designed or marketed for use by children aren't a permitted listing category at this time, regardless of whether they're handmade — this is a current prohibition, not just a disclaimer. We may enable this category in the future with additional requirements.
• If you resell branded yarn, or make any fiber-content or care claim, you're responsible for its accuracy and for complying with applicable labeling law (e.g. the FTC's Textile and Wool Acts) — describe the item's true condition (new, opened, partial skein, scrap, etc.) accurately.

• GatheredFolk charges a platform fee of 10% of the item price on each completed sale, collected as a Stripe Connect application fee (Along Hosts may have a different rate set by agreement with GatheredFolk — see the Terms of Service). Stripe's own payment-processing fees are separate and are your responsibility. We may change fees on reasonable notice.
• For physical items, the buyer's payment is collected at checkout and held — your payout is released only once the fulfillment and review process below completes successfully. Digital items and Along purchases are typically paid out right away instead.
• Payouts are made by Stripe to your connected account; timing is subject to Stripe's own terms, our hold policy, and any review or dispute.
• We (and Stripe) may hold, delay, reverse, or deduct from your payouts to cover refunds, chargebacks, disputes, suspected fraud, negative balances, fees, or amounts you owe us. You authorize us to recover those amounts from your held funds, future payouts, or connected account, and you remain liable for any shortfall.

• You must ship each physical order with carrier-verified tracking within 7 days of the order (or the timeframe stated in your listing) — if you don't ship with valid tracking by the deadline, the order is automatically canceled and the buyer refunded, and no payout is made.
• Tracked shipping only — untracked shipments are at your own risk and won't qualify for payout protection. We treat carrier tracking data as authoritative.
• Package items appropriately to arrive undamaged, ship only to the address provided at checkout, and follow the Platform's prompts (rather than rerouting off-Platform) if an address turns out to be invalid or undeliverable.
• As between you and GatheredFolk, risk of loss or damage in transit is yours until the item is delivered — we're not your shipper, insurer, or guarantor.

The usual path: a buyer pays, funds are held, you ship with verified tracking within 7 days, the carrier confirms delivery, and then there's a 72-hour buyer review window — if no qualifying dispute is opened in that window, your payout is released automatically and the sale is final.

• A buyer may open a dispute during that window only for: the item never arrived, arrived damaged, was the wrong item, or was significantly not as described. You'll get the chance to provide evidence (tracking, carrier history, ship date, photos).
• Many cases resolve automatically: an unshipped or late order auto-refunds the buyer; a delivery with no timely dispute auto-releases your payout; a dispute you don't respond to auto-closes in the buyer's favor after several days, on the reasoning that an unanswered claim shouldn't sit open indefinitely.
• For anything that can't resolve automatically, GatheredFolk may, at its sole discretion, decide to release your payout, refund the buyer in whole or part, or take no action — our decision is final. Where a refund is due, it's funded from your held funds or recovered from you, not from GatheredFolk's own money.
• If a buyer files a card chargeback, you're responsible for the disputed amount and any associated fees, and you authorize us to recover it the same way described in "Fees and payouts" above. We may submit evidence to the card network but can't guarantee any particular outcome.

• You're responsible for determining, collecting where you're the responsible party, reporting, and remitting any taxes on your sales, and for your own income taxes.
• Where the law requires GatheredFolk to collect and remit sales tax as a marketplace facilitator, we will — otherwise it's your responsibility.
• Tax information reporting (e.g. a 1099-K) is generally handled by Stripe for your own connected account — keep your tax details with Stripe accurate and current.

Handle buyer questions promptly and professionally, and honor what your listing says.

• Don't manipulate or incentivize reviews, harass buyers, solicit off-Platform transactions to avoid fees or protections, use a buyer's personal data (including their shipping address) for anything beyond fulfilling that specific order, or add a buyer to any marketing without their consent.
• You're independently responsible for how you store, use, and protect any buyer personal data you receive to fulfill an order — GatheredFolk isn't responsible for your handling of it, and you'll indemnify us (see "Indemnification" below) for any claim, fine, or expense arising from your misuse or improper disclosure of it.
• Completing a Marketplace-originated sale off-Platform to avoid fees or buyer/seller protections is prohibited and voids any payout protection for that sale.

GatheredFolk operates a notice-and-takedown process for copyright and other IP complaints (see the Terms of Service). If a rights holder submits a valid complaint, we may remove your listing and, for repeat infringement, suspend or terminate your selling privileges — without liability to you.

The ownership attestation you make when listing a digital work is a material representation we and buyers rely on, and you'll indemnify us for any breach of it.

You grant GatheredFolk a worldwide, non-exclusive, royalty-free license to use, host, reproduce, display, and distribute your listing content (titles, descriptions, photos) to operate and promote the Marketplace and your own listings. You represent you have every right necessary to grant this license.

We may remove listings, restrict or suspend your selling or hosting privileges, withhold or reverse payouts, and terminate your seller/Host status at our discretion, at any time, including for a violation of this Agreement or the Terms, a pattern of late shipping or a high dispute/refund rate, suspected fraud or IP infringement, risk to buyers or the Platform, or as required by Stripe or law.

If that happens, you're still responsible for completing any pending orders and for every obligation that arose before termination — refunds, chargebacks, taxes, and indemnities included.

To the fullest extent permitted by law, you'll defend, indemnify, and hold harmless GatheredFolk and its owners, members, managers, officers, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising from: your listings and items; any sale you make; any injury, defect, safety, or product-liability claim relating to your items; your breach of any representation or obligation in this Agreement; your infringement of someone else's rights; your violation of any law, including tax, labeling, and safety law; and any refund, chargeback, or buyer dispute relating to your sales.

The Marketplace's tools, dispute process, tracking verification, and payout mechanics are provided "as is," with no warranty of any kind — we don't warrant sales volume, payout timing, or any dispute outcome.

GatheredFolk's total liability to you under this Agreement won't exceed the total platform fees we actually collected from you in the 3 months before the claim arose, and we're not liable for indirect, incidental, special, or consequential damages, or lost profits or goodwill. The liability limits in the Terms of Service apply here too.

Nothing in this Seller Agreement creates an employment, agency, partnership, joint venture, or franchise relationship. You're an independent seller (or Host) operating your own business.

The binding arbitration, class-action waiver, jury-trial waiver, governing law, and venue provisions in our Terms of Service apply in full to this Seller Agreement too — see the Terms' "Dispute resolution" section.

We may change this Seller Agreement at any time on reasonable notice; continuing to sell or host after a change takes effect means you accept the revised Agreement. By listing an item or hosting an Along, you acknowledge you've read and agree to it — including the fee, payout-hold, refund-liability, indemnification, and dispute-resolution terms.
